Overview

This website is operated by SHECOMMERCE LTD ('SheCommerce', 'we', 'us', 'our'), a company registered in England and Wales, with its registered office at BusinessLodge Widnes, 2 Kingsway House, Caldwell Road, Widnes, WA8 7GD.

These Terms of Use and Subscription Agreement ('Terms') govern your access to and use of the SheCommerce mentorship programme, website (shecom.co.uk), course platform (hosted via Thinkific), community, and all associated services and content.

By accessing our website, creating an account, or subscribing to a membership tier, you agree to be bound by these Terms. If you do not agree, you must not access or use our services.

IMPORTANT: Before completing your purchase, you are required to tick a mandatory checkbox confirming that you have read and agree to these Terms of Use and our Privacy Policy. By ticking that box and completing payment, you are entering into a legally binding subscription agreement with SHECOMMERCE LTD. Your acceptance is electronically recorded, including the date, time, and — where available through our systems and service providers — IP address and device information associated with your acceptance.

We may update these Terms at any time by posting a revised version at shecom.co.uk. Where changes are material, we will notify active members by email. Continued use of our services following notification of updated Terms constitutes acceptance of those changes.

 

1. Eligibility and Account Responsibility

To subscribe to SheCommerce, you must:

You are solely responsible for all activity carried out under your account. If you believe your account has been accessed without authorisation, you must notify us immediately at [email protected].

We reserve the right to refuse, suspend, or terminate access at our discretion where we have reason to believe the eligibility requirements above have not been met.

 

2. Subscription, Billing and Automatic Renewal

2.1 Subscription Tiers

SheCommerce offers three membership tiers:

2.2 Recurring Monthly Subscription

SheCommerce memberships are CALENDAR-MONTH ROLLING SUBSCRIPTIONS. Your subscription will automatically renew on the same calendar date each month until you cancel it. By subscribing, you expressly authorise SHECOMMERCE LTD to charge your payment method on a recurring monthly basis without further action or notice from us.

Your first payment is taken at the point of purchase. Each subsequent payment is taken on the same calendar date each month ('renewal date'). If that date does not exist in a given month (e.g. the 31st), payment will be taken on the last day of that month.

You will have access to all content, community, resources, and support included in your membership tier throughout each paid billing period.

2.3 Immediate Access to Digital Services

Upon successful payment, you will receive immediate access to all content, resources, and services included in your membership tier. This includes:

2.4 Price Stability

Your membership price will not increase during your current active subscription period. We may change our pricing for new subscribers from time to time. If we make a price change that affects existing subscribers, we will provide at least 30 days' written notice before any increase takes effect.

 

3. Cancellation and Access After Cancellation

3.1 How to Cancel

Your subscription is entirely self-managed. You can cancel at any time by following these steps:

  2. Go to My Account
  3. Select Billing
  4. Select Active Subscriptions
  5. Select Cancel Subscription

 

Cancellations cannot be processed by email, DM, social media message, or any method other than through your account dashboard as described above. We are not responsible for failed cancellations resulting from your failure to follow this process.

If you experience any technical difficulty cancelling through your dashboard, you must contact us at [email protected] before your renewal date. It is your responsibility to ensure cancellation is completed in advance of the next billing date.

3.2 Access After Cancellation

If you cancel your subscription, you will retain full access to your membership content, community, and resources until the end of your current paid billing period. Access will be removed at the end of that period.

No refunds or credits are issued for the remaining portion of a billing period following cancellation.

3.3 Responsibility for Renewal

It is your sole responsibility to cancel your subscription before your renewal date if you do not wish to be charged for the next billing period. We do not send advance renewal reminders as standard. You can see your next renewal date at any time in your account dashboard under My Account > Billing.

If you are charged for a renewal you did not intend, you must contact us at [email protected] within 7 days of the charge. We may at our discretion offer a refund where it is clear that a genuine administrative error has occurred, but we are under no obligation to do so.

 

4. Refund Policy

All payments made to SheCommerce are non-refundable as a general rule. This applies to all membership tiers.

SheCommerce is a subscription-based digital mentorship programme. Upon payment, you receive immediate access to a full suite of digital content, community access, team support, and ongoing services. The value of this service is not contingent on your individual use of it during any given billing period.

Non-use of the service — including but not limited to not logging in, not watching content, not posting in the community, or not attending coaching calls — does not constitute grounds for a refund. Your subscription grants access to the service, not a guarantee of a specific outcome or engagement frequency.

In plain terms: just as a streaming platform does not refund a subscription because you chose not to watch any content that month, SheCommerce does not refund a subscription because you chose not to engage with it.

The following do not constitute grounds for a refund:

4.1 Exceptions

We may, at our sole discretion, consider a refund or goodwill credit in genuinely exceptional circumstances, such as a demonstrable technical failure on our part that prevented access to the service for a sustained period. Any such consideration must be requested at [email protected] and will be assessed on a case-by-case basis.

Nothing in this refund policy affects your statutory rights under UK consumer law. If you believe you have a legal right to a refund, please contact us to discuss.

 

5. Evidence of Service Delivery

SheCommerce maintains records of platform activity that may be used to demonstrate that the service has been delivered and accessed. Evidence of service delivery and access may include, but is not limited to:

The above activities — individually or collectively — may constitute evidence that the service was delivered and accessible during the relevant billing period. This evidence may be referenced in connection with any payment dispute, chargeback, or legal claim.

 

6. Intellectual Property and Content Licence

All content made available via SheCommerce — including course videos, modules, workbooks, templates, slides, live call recordings, community posts by SheCommerce, coaching materials, branding, and all other materials (together, the 'Content') — is the intellectual property of SHECOMMERCE LTD or our licensors, and is protected by copyright and other applicable laws.

Your subscription grants you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Content for your own personal, non-commercial purposes while your subscription remains active and these Terms are complied with.

This licence does not permit you to:

7. Community Access and Conduct

Grow and Scale members receive access to SheCommerce's member community, hosted via Thinkific Communities. Start members have access to a peer community. Use of the community is subject to our Community Guidelines, available within the platform.

By participating in the community, you agree to:

Community posts, messages, and direct messages within Thinkific Communities are stored and may be monitored for safety, quality assurance, and compliance purposes. See our Privacy Policy for further details.

We reserve the right to remove community content, suspend community access, or terminate membership without refund where these conduct standards are not met.

 

8. Scale Tier Application Process

The Scale tier is not open to direct purchase. Access requires a successful application via our Typeform application form, followed by a pre-screening call conducted by a member of our team, and a confirmation call with Hannah Spencer.

Completing the application form and pre-screening process does not guarantee acceptance to the Scale tier. We reserve the right to decline any application at our discretion.

Information provided in the application process is processed in accordance with our Privacy Policy.

 

9. Calls, Onboarding and Recordings

SheCommerce may conduct onboarding calls, pre-screening calls, sales consultations, coaching calls, and support sessions with members and prospective members. You will be informed at the start of any call that it may be recorded.

By continuing with a call after being informed of recording, you consent to the call being recorded. Call recordings may be used for:

Recordings are stored securely and handled in accordance with our Privacy Policy. You may not record any call with SheCommerce without our express prior written consent.

 

10. Prohibited Uses

In addition to the content licence restrictions in Section 6, you must not use SheCommerce or its services to:

We may suspend or permanently terminate your access to SheCommerce, immediately and without prior notice, in the following circumstances:

Where access is terminated due to a breach of these Terms, no refund will be issued for any unused portion of your subscription period.

We reserve the right to report suspected fraudulent activity, including manifestly unfounded chargeback claims, to payment processors, banks, card schemes, and/or law enforcement.

 

12. Payment Disputes and Chargeback Policy

We take payment disputes seriously and maintain comprehensive records to support our position where a dispute arises.

For every subscription purchase, we may retain — where available through our systems and service providers — some or all of the following:

Where a chargeback or payment dispute is raised with your bank or card provider, we will submit all relevant available evidence to contest the dispute where we reasonably believe it is unfounded.

Where we reasonably believe a chargeback or payment dispute is unfounded — particularly where the service has been delivered and accessed — this may constitute an attempt to retain services without payment. We reserve the right to pursue recovery of amounts taken via chargebacks through all available legal means, including debt recovery and legal proceedings.

13. Electronic Acceptance and Records

By ticking the mandatory acceptance checkbox at checkout and completing your purchase, you confirm that you have read, understood, and agreed to these Terms of Use and Subscription Agreement and our Privacy Policy.

This constitutes a valid and legally binding form of electronic acceptance ('clickwrap acceptance'). A record of your acceptance is retained, which may include — where available through our systems and service providers:

These records may be used as evidence in any dispute, chargeback, legal claim, or regulatory inquiry. By completing your purchase, you consent to us retaining these records for as long as necessary in accordance with our Privacy Policy.

 

14. Disclaimers, Results and Earnings

SheCommerce provides education, mentorship, community access, and practical support for people building ecommerce businesses. We do not guarantee any specific outcomes, earnings, or results from participation in our programme.

Any income examples, case studies, or testimonials shared within our content, community, or marketing materials represent the experiences of individual members and are not typical. Your results will depend on a wide range of factors including, but not limited to, your experience, effort, market conditions, niche selection, marketing spend, and personal circumstances.

Nothing in our course content, community, coaching calls, or communications constitutes financial, legal, or professional advice. You should seek independent advice where appropriate.

Our services and content are provided on an 'as is' and 'as available' basis. We do not warrant that the service will be uninterrupted, error-free, or that any particular content will remain available indefinitely. We reserve the right to update, modify, or remove content at any time.

 

15. Limitation of Liability

To the maximum extent permitted by applicable law, SHECOMMERCE LTD and its directors, employees, contractors, and affiliates shall not be liable for:

Our total aggregate liability to you in connection with these Terms and your use of the service shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation, or any other liability that cannot be lawfully excluded or limited.

You agree to indemnify, defend, and hold harmless SHECOMMERCE LTD, its directors, employees, contractors, coaches, and partners from and against any and all claims, losses, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

 

17. Confidentiality

Within the SheCommerce community and on coaching and support calls, you may be exposed to confidential information, business strategies, operational methods, and the personal and business experiences of other members and of the SheCommerce team.

You agree not to disclose, share, reproduce, or use outside of SheCommerce any confidential information or member contributions accessed through the service. This obligation survives the termination of your membership.

Recording, downloading, or saving any live call, coaching session, or community content is not permitted unless we have explicitly enabled download functionality or provided express written permission.

 

18. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales.

Any dispute arising out of or in connection with these Terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before commencing any legal proceedings, we ask that you contact us at [email protected] to attempt to resolve the matter informally. We will endeavour to respond to all formal complaints within 14 days.

 

19. General Provisions

Entire agreement — these Terms, together with our Privacy Policy and any tier-specific terms notified to you, constitute the entire agreement between you and SHECOMMERCE LTD in respect of the service.

Severability — if any provision of these Terms is found to be invalid, unlawful, or unenforceable, that provision will be severed, and the remaining Terms will continue in full force.

Waiver — our failure to enforce any right under these Terms does not constitute a waiver of that right.

Assignment — you may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations at any time.

Third party rights — these Terms do not confer any rights on any third party under the Contracts (Rights of Third Parties) Act 1999.
